A desconsideração da pessoa jurídica : uma análise das recentes alterações legislativas do art. 50 do código civil

Abstract

Resumo: Neste estudo aborda-se a temática da desconsideração da pessoa jurídica à luz das recentes alterações legislativas promovidas pela Lei da Liberdade Econômica (Lei nº 13.874/2019 ou "LLE") no art. 50 do Código Civil (Lei nº 10.406/2002 ou "CC"). Ainda antes da previsão legal, variados doutrinadores já apontavam sobre as problemáticas tangentes ao instituto da desconsideração da pessoa jurídica, por exemplo, quanto à confusão existente entre a desconsideração da personalidade jurídica e da responsabilidade ou pelo fato de que muitos microssistemas, ao tratarem da desconsideração, já tornam a pessoa juridica desconsiderada. Assim, a presente monografia tem o condão de refletir se as alteragdes promovidas pela LLE solucionaram os obstaculos outrora apresentados. Para tanto, o trabalho se utiliza da metodologia dedutiva, mediante analises bibliograficas e do posicionamento do Superior Tribunal de Justi¢a (STJ). Em um primeiro momento, procura-se realizar um breve exame do conceito e natureza da pessoa juridica, por intermédio de exposição das principais correntes doutrinarias. Após, busca-se analisar a quebra do principio da autonomia patrimonial e o instituto da desconsiderag@o da pessoa juridica, com consequente analise das bases legais do direito brasileiro. Posteriormente, analisa-se as problematicas da desconsidera¢do da pessoa juridica, mediante a exposição de variados posicionamentos. Após, examina-se o cenario depois das alteragdes legislativas promovidas pela LLE, por meio da análise, ponto a ponto, do art. 50 e de seus paragrafos. Como ultimo tópico, aborda-se o Projeto de Lei nº 3401/2008 (PL), que disciplina o procedimento de declaragdo judicial da desconsideragdo da pessoa juridica, que foi aprovado recentemente pelo Congresso Nacional. Como conclusio, apanha-se que as mudangas recentes possuem alguns aspectos positivos, pois visam estabelecer critérios mais rigidos para a aplicação da desconsideragdo da pessoa juridica, porém, em seu aspecto pratico, permeiam algumas problematicas anteriormente retratadas.

Abstract: This study addresses the issue of the disregard of legal entity considering the recent legislative changes made by the Economic Freedom Law (Law nº 13.874/2019) to article 50 of the Civil Code (Law nº 10.406/2002). Even before the legislative provision, several legal scholars have pointed out the problems related to the institute of disregard of legal entity, especially regarding the confusion between the disregard of legal entity and the liability or the fact that many microsystems, when dealing with the disregard, already make the legal entity disregarded. Thus, the present monograph has the intention of reflecting on whether the alterations promoted by the legislative change solved the obstacles previously presented. To this end, the study uses the deductive methodology, through bibliographical analyses and the position of the Superior Court of Justice. At first, a brief examination of the concept and nature of legal entities is sought through an exposition of the main doctrinal currents. Afterwards, the breach of the principle of patrimonial autonomy and the institute of disregard of legal entities is analyzed, with a consequent analysis of the legal bases of Brazilian law. Subsequently, the problematic issues of disregarding legal entities are analyzed through the exposition of various positions. Afterwards, the scenario is examined after the legislative changes promoted by LLE, through a point-bypoint analysis of article 50 and its paragraphs. As a final topic, the Project of Law nº 3401/2008 (PL) is addressed, which regulates the procedure of judicial declaration of disregard of legal entities, recently approved by the National Congress. In conclusion, the changes have some positive aspects, since they aim to restrict the application of the disregard of legal entity, however, in its practical aspect, they permeate some problems previously portrayed.
