A revisão do contrato built to suit

Resumo: O presente trabalho tem por objetivo o estudo da possibilidade da revisão do contrato built to suit. Para tanto, parte da premissa de que o contrato built to suit é incompatível com as disposições da Lei n.º 8.245/1991 (Lei de Locações), apesar de ter sido implementado, pela Lei n.º 12.744/2012, em seu art. 54-A. A hipótese primária do presente artigo, portanto, é que o contrato built to suit não configura nova modalidade de locação e não admite revisão pelo parâmetro estabelecido no art. 19 da Lei n.º 8.245/1991. Ademais, busca descrever a origem e a recepção do contrato built to suit no ordenamento jurídico brasileiro, bem como afirmar as razões de sua atipicidade. Apds, adentra ao estudo das teorias da impreviséo, onerosidade excessiva e base negocial para, em um segundo momento, defender a possibilidade de revisão do contrato built to suit diante de um evento superveniente imprevisivel e extraordinario, sendo salientadas, porém, as peculiaridades do contrato empresarial. Além disso, expde, brevemente, a possibilidade de redugdo da clausula penal compensatéria do contrato built to suit a partir do art. 413 do Código Civil. Por fim, o presente trabalho adota o método de abordagem hipotético-dedutivo, a partir da técnica de pesquisa bibliografica. Abstract: The purpose of this paper is to examine the possibility of revising the built to suit contract. The premise is that the contract by measure is incompatible with the provisions of Law No. 8.245/1991 (Rent Law), although it has been implemented by Law No. 12.744/2012 in Article 54-A. Therefore, the main hypothesis of this article is that the built to suit contract is not a new type of lease and does not allow review by the parameter established in Article 19 of Law No. 8.245/1991. In addition, an attempt will be made to describe the origin and reception of the built-to-suit contract in the Brazilian legal system and the reasons for its atypicality. Then, the theories of unforeseeability, undue burden and business basis are discussed, in order to defend, in a second step, the possibility of revising the built to suit contract in case of an unforeseeable and extraordinary event, highlighting, however, the peculiarities of the business contract. In addition, the possibility of reducing the penalty clause of the agency contract on the basis of Article 413 of the Civil Code is briefly highlighted. Finally, a hypothetical-deductive approach is adopted, based on the technique of bibliographic research.
