Oferta pública de criptoativos à luz da Lei nº 6.385/1976

Abstract

Resumo: O presente trabalho insere-se no contexto das inovações trazidas pela tecnologia blockchain, tendo como enfoque específico as ofertas públicas de criptoativos como forma de captação de recursos para o desenvolvimento de atividades empresariais. O estudo desenvolve-se sob a ótica da Lei de Mercado de Valores Mobiliários (Lei n.º 6.385/1976) e assume como linha condutora a compreensão dos chamados security tokens e sua correlação com o conceito de valor mobiliário. Os objetivos centrais da pesquisa foram: (i) compreender os aspectos jurídicos das ofertas públicas de criptoativos (Initial Coin Offerings, ICOs); (ii) comparar este fenômeno com a regulação existente para as ofertas públicas de valores mobiliários, conforme dispõe a Lei n.º 6.385/1976; e (iii) identificar, a partir dos elementos práticos abordados, se é necessária ou não, ao menos para os security tokens, uma regulação específica. A justificativa do estudo se dá pelo fato de que a captação de recursos com os ICOs revelou-se um ferramental sem barreiras jurisdicionais. Ao utilizar-se da rede mundial de computadores e do blockchain como infraestrutura de confiança, diversos intermediários e autoridades são eliminados, o que somente assevera as preocupações com riscos sistêmicos gerados à poupança popular e à economia nacional. Abstract: This study is inserted in the context of the innovations brought by the blockchain technology. Its specific focus are the public offerings of cryptoassets as a way of fund raising towards the development of business activities. The study is developed under the perspective of the Brazilian Securities Law (Federal Law No. 6385/1976) and takes as a guideline the understanding of the so-called security tokens and their correlation with the concept of security. The main objectives of the research were: (i) to understand the legal aspects of crypto public offerings (Initial Coin Offerings, ICOs); (ii) compare this phenomenon with the existing regulation for public securities offerings, in particular Initial Public Offerings (IPOs), regulated by Brazilian Federal Law No. 6.385/1976; and (iii) identify, based on the practical elements addressed, whether specific regulation is necessary or not, at least for security tokens. The study's justification is given by the fact that fundraising with ICOs proved to be a tool without jurisdictional barriers. By using the internet and the blockchain as a trusted infrastructure, several intermediaries and authorities are eliminated, which only raises legal concerns about systemic risks generated for popular savings and the national economy.
