Contratos built to suit : qualificação e revisão

Resumo: A presente dissertação tem por objetivo realizar uma abordagem crítica sobre os contratos built to suit. Para tanto, resgata sua origem no comércio e sua inserção na Lei de Locações, por meio do art. 54-A. Partindo de sua base normativa, qualifica-se e aborda-se o built to suit como um contrato atípico misto. Com essa premissa, propõe o regime jurídico cabível e a compatibilidade à Lei de Locações. O trabalho avalia o papel da autonomia privada para o fim alcançado pelos contratantes, destacando que a interpretação do contrato built to suit deve considerar as peculiaridades dessa operação econômica, a exemplo da necessidade de respeitar a duração do contrato. Por fim, analisa a possibilidade de revisão dos contratos built to suit, tanto na perspectiva da Lei de Locações, quanto do Código Civil. A dissertação demonstra que a revisão proposta pela Lei de Locações é incompatível com o built to suit, mas que é necessário verificar se outros fundamentos podem ser elencados para o estudo sobre a revisão desse contrato, desde que impactado o vínculo contratual. Abstract: This dissertation seeks a critical approach to built to suit contracts. To this end, it will trace their origin in trade, as well as its inclusion in the Brazilian leasing law through article 54-A. Given their normative grounds, this study qualifies and addresses built to suit as mixed atypical contracts. Thereby, it posits the applicable legal regime to built to suit and its compatibility with the Brazilian leasing law. It also evaluates the role of private autonomy in the outcome sought by the contractors, emphasizing that the interpretation of the contract must consider the particularities of the economic operation, such as the need to comply with the duration of the contract. Finally, the possibility of contractual revision of built to suit contracts is analyzed from the perspective of both the Leasing Law and the Civil Code. The dissertation concludes that the revision proposed by the Brazilian leasing law is incompatible with the built to suit, but that it is necessary to verify whether other grounds could be included in the studies on the revision of this type of contract, insofar as the contractual relation is affected.
