Lições doutrinárias acerca da responsabilidade de terceiros e a solução do STJ quanto ao sócio contra o qual redirecionar a execução fiscal

Resumo: O presente artigo buscou identificar, com base nas lições doutrinárias acerca do tema, a ideal interpretação a ser dada à responsabilidade de terceiros, nos casos de dissolução irregular de sociedade, com fundamento no artigo 135, III, do Código Tributário Nacional, conjugando o acervo teórico que sustenta o instituto da responsabilidade ao entendimento do Superior Tribunal de Justiça sobre o assunto, sobretudo a partir do julgamento dos Temas Repetitivos n.os 962 e 981. Nesse esforço, inicialmente, foram apresentados os precedentes jurisprudenciais que balizam o tema. Na sequência, foram revisitados os ensinamentos de Paulo de Barros Carvalho sobre a regramatriz de incidência, a distinção entre a capacidade para realizar o fato jurídico tributário e a capacidade para ser sujeito passivo de obrigações tributárias, a solidariedade, a responsabilidade e as infrações e sanções tributárias na concepção do autor. Ainda, analisaram-se as lições de Daniel Monteiro Peixoto sobre a responsabilidade tributáriae os atos de dissolução de sociedades. Por fim, foram identificadas as questões que possivelmente ocasionam a ampla controvérsia que ainda permeia a matéria, apresentadas as conclusões sobre a solução encontrada pelo Superior Tribunal de Justiça e indicado o tema que ainda carece de maior aprofundamento para elucidação abrangente sobre a responsabilização dos sócios ou administradores pela dissolução irregular da sociedade. Abstract: This article sought to identify, based on the doctrinal lessons on the subject, the ideal interpretation to be given to the responsibility of third parties, in cases of irregular dissolution of society, based on article 135, III, of the National Tax Code, combining the theoretical collection that supports the institute of responsibility with the understanding of the Superior Court of Justice on the subject, especially from the judgment of Repetitive Themes numbers 962 and 981. In this effort, initially, the jurisprudential precedents that guide the theme were presented. Next, the teachings of Paulo de Barros Carvalho on the incidence matrix rule, the distinction between the capacity to carry out the tax legal act and the capacity to be a taxable subject of tax obligations, solidarity, responsibility, infractions and tax sanctions were revisited. Still, the lessons of Daniel Monteiro Peixoto on tax liability and acts of dissolution of companies were analyzed. Finally, the issues that possibly give rise to the wide controversy that still permeates the matter were identified, the conclusions on the solution found by the Superior Court of Justice were presented and the theme that still needs further deepening for a comprehensive elucidation on the liability of the partners or administrators for the irregular dissolution of the company.
