Abstract: This study is inserted in the context of the innovations brought by the blockchain technology. Its specific focus are the public offerings of cryptoassets as a way of fund raising towards the development of business activities. The study is developed under the perspective of the Brazilian Securities Law (Federal Law No. 6385/1976) and takes as a guideline the understanding of the so-called security tokens and their correlation with the concept of security. The main objectives of the research were: (i) to understand the legal aspects of crypto public offerings (Initial Coin Offerings, ICOs); (ii) compare this phenomenon with the existing regulation for public securities offerings, in particular Initial Public Offerings (IPOs), regulated by Brazilian Federal Law No. 6.385/1976; and (iii) identify, based on the practical elements addressed, whether specific regulation is necessary or not, at least for security tokens. The study's justification is given by the fact that fundraising with ICOs proved to be a tool without jurisdictional barriers. By using the internet and the blockchain as a trusted infrastructure, several intermediaries and authorities are eliminated, which only raises legal concerns about systemic risks generated for popular savings and the national economy. Keywords: Blockchain. Securities market. Cryptoassets. Initial Public Offering. Initial Coin Offerings (ICOs).
