A necessidade de atualização regulatória das sociedades de agentes autônomos de investimento

Resumo: O presente artigo tem como objetivo verificar as características funcionais dos escritórios de agentes autônomos de investimento, em específico o seu tipo societário e as restrições a este tipo de sociedade. Atualmente, a regulação da Comissão de Valores Mobiliários permite que os escritórios de agentes autônomos sejam constituídos apenas como sociedades simples e apenas com o ingresso de sócios credenciados como agentes autônomos de investimento. Entretanto, considerando o fato de que o número de investidores na bolsa de valores brasileira tem aumentado expressivamente nos últimos anos e, consequentemente, muitos escritórios de agentes autônomos têm desenvolvido internamente uma estrutura ramificada e especializada para lidar com a demanda de seus clientes, a sociedade simples acaba não sendo o modelo juridicamente mais adequado para um escritório de assessores de investimentos. Tendo isso em vista, já se discute no âmbito legislativo e no mercado eventual proposta de mudança regulatória para o tipo societário de sociedade empresária, modelo que os agentes de mercado julgam ser mais adequado para os escritórios de assessores. Isso ocorre não apenas pelo fato de que o tipo societário simples não atende as necessidades de um escritório de estrutura complexa e especializada, mas também pelo fato de que o atual modelo não permite o ingresso de sócios capitalistas no quadro societário, de modo que o próprio escritório de agentes autônomos acaba ficando operacionalmente limitado. Portanto, o presente trabalho propõe uma abordagem analítica quanto à necessidade de readequação regulatória dos agentes autônomos por parte da Comissão de Valores Mobiliários e quais os seus efeitos, em termos jurídicos, para essas sociedades. Abstract: The objective of this paper is to verify the functional characteristics of the offices of autonomous investment advisors, specifically their corporate type and the restrictions to this type of incorporation. Currently, the regulation of the Brazilian Securities and Exchange Commission allows the offices to be constituted only as simple companies and only with the entrance of shareholders accredited as autonomous investment advisors. However, considering the fact that the number of investors in the Brazilian stock exchange has increased significantly in the last years and, consequently, many investment offices have developed a branched and specialized structure internally to deal with the demand from their clients, the simple company ends up not being the most legally adequate model for an investment advisor office. In view of this, there are already discussions in the legislative sphere and in the market about a possible proposal for a regulatory change to the corporate type of company, which is the model that market agents believe to be more appropriate for investment advisory firms. This occurs not only because the simple corporate type does not meet the needs of a firm with a complex and specialized structure, but also because the current model does not allow the entry of capitalist shareholders into the corporate structure, so that the autonomous advisor firm ends up being operationally limited. Therefore, this paper proposes an analytical approach as to the need for regulatory readjustment of the autonomous advisors by the Brazilian Securities and Exchange Commission and what its effects are, in legal terms, for these companies.
